Notice deadline = term-end minus your notice days, measured against a fixed date. Inside 30 days it’s ACT NOW; more runway is WINDOW OPEN; past the deadline is LOCKED IN.

The stakes

Five renewal clauses, marked 0/1/2 and weighted to a 0–100 severity: uncapped price, no mid-term exit, a notice-method landmine, a long fixed renewal, value at risk. HARSH / MODERATE / MILD.

The gate

B2B auto-renewal clauses are generally enforceable as written, and “I forgot” is not a defense, so the stakes are real: confirm every date, notice rule, and clause against the actual contract, and consult counsel before you rely on an exit. Consumer auto-renewal laws exist but target B2C, not the vendor contracts this kit is built for. It grades a contract, not a person.
