Vendor Auto-Renewal & Contract-Trap Tripwire
The deadline is the tripwire. This one-time .xlsx reads every vendor contract on two independent tracks — the notice-deadline clock and how bad the renewal traps are — so you catch the window before it closes and keep your leverage.

01 · The problem
The window closes quietly, and then you’ve renewed
Most vendor contracts renew themselves unless you give written notice a fixed number of days before the term ends — 30, 60, 90, sometimes 180. Miss that window and you roll into another full term, often with a price bump baked in, and you’ve lost every ounce of negotiating leverage. The vendor knows you’re locked in.
The deadlines live in different appendices of different PDFs, tracked from the wrong date, owned by no one. By the time anyone notices the clause, the notice period has passed and the invoice has arrived. Spreadsheets fail at this the moment you have more than a handful of contracts. This kit is the tripwire you set instead.

Watch the clock and the stakes stay separate

as of 2026-07-042026-07-1814d to give notice
The deadline is inside the action window. Give notice or start renegotiating now — a missed window means another full term and lost leverage.Worst clause: renewal price is uncapped or resets to vendor list price.
Change the term-end date and watch a HARSH contract stay workable with runway, then flip to LOCKED IN the moment the window closes — the clock and the stakes never merge. The evaluation date is pinned, never live. Terms are yours to confirm off the contract. Not legal advice.
This is the live engine. The full .xlsx tracks every vendor contract's deadline and trap clauses in one place. Track from the term-end date, catch the window before it closes, keep your leverage.

The clock
Notice deadline = term-end minus your notice days, measured against a fixed date. Inside 30 days it’s ACT NOW; more runway is WINDOW OPEN; past the deadline is LOCKED IN.
The stakes
Five renewal clauses, marked 0/1/2 and weighted to a 0–100 severity: uncapped price, no mid-term exit, a notice-method landmine, a long fixed renewal, value at risk. HARSH / MODERATE / MILD.
The gate
Once the window closes, a contract reads LOCKED IN however mild the terms — your move is next cycle. A harsh contract with runway is still workable. The clock is dispositive; severity is only the stakes.
04 · How it works
Four columns off the contract, and you’re done
- 01
List each contract
One row per vendor on the Tripwire tab. Pull the term-end date straight off the agreement — track from the end date, never the signing date.
- 02
Enter the notice window
The advance written notice required to stop renewal: 30, 60, 90, 120, 180 days. The kit computes the deadline as term-end minus this window.
- 03
Confirm the trap clauses
Mark five clauses 0/1/2 — including how notice must be given. If the contract demands certified mail to Legal, an email to your rep doesn't count: mark it a 2.
- 04
Read the Dashboard
Each contract gets its headline and severity, the book rolls up to one verdict, and the kit names the contract to handle first — the soonest open deadline.
05 · What it is, and isn’t
A triage tool, not legal advice
This kit grades a contract’s renewal clock and clauses from terms you confirm off the agreement. It is a business-judgment triage tool — not legal advice and not a compliance ruling. B2B auto-renewal clauses are generally enforceable as written, and “I forgot” is not a defense, so the stakes are real: confirm every date, notice rule, and clause against the actual contract, and consult counsel before you rely on an exit. Consumer auto-renewal laws exist but target B2C, not the vendor contracts this kit is built for. It grades a contract, not a person.
06 · Who it’s for
Anyone who signs vendor contracts and forgets them
Founders, ops leads, and finance teams carrying a stack of SaaS, service, and supplier agreements that renew on their own. If you’ve ever discovered a renewal after the invoice landed, this is the tripwire you set instead — every deadline tracked from the right date, on one desk you can actually work.
